Marvell to acquire Lumentum — 115 billion dollar all-stock AI optical deal
Marvell Technology and Lumentum have signed a definitive agreement under which Marvell will acquire Lumentum in an all-stock transaction implicitly valued at roughly 115 billion dollars, the largest technology merger of 2026 and a bold bet that AI data centers are shifting from copper to optical interconnect.
The Deal at a Glance
On November 2, 2026, the two companies announced a transaction in which Lumentum shareholders receive 4.5 Marvell shares for each Lumentum share. That equates to about 1,132 dollars per Lumentum share, a 23.9 percent premium to the October 28 unaffected close. After the deal, Marvell's existing holders own about 67 percent of the combined company and Lumentum holders about 33 percent. Matt Murphy remains chairman and chief executive.
Why Optical, Why Now
AI clusters keep growing, and the bandwidth demand between chips, racks, and data centers is outpacing what copper can deliver. Marvell brings electrical and optical interconnect, network switching, and custom XPU attach; Lumentum adds high-performance lasers, optical transceivers, optical circuit switches, and indium phosphide manufacturing. Together they aim to co-design electro-optical links for 800G, 1.6T, and CPO workloads. Marvell projects the combined addressable market at about 550 billion dollars and sees the interconnect market growing roughly 65 percent a year toward 650 billion dollars by 2030.
What Comes Next
The merger still needs approval from both sets of shareholders and from regulators, and is expected to close in the first half of 2028. Termination fees are structured on both sides, and the long review window adds uncertainty. For customers and rivals alike, the deal signals that connectivity — not just compute — is becoming the defining battleground of the AI buildout.
